General provisions
These skillball app terms of use (hereinafter – the Terms) determine the legal and binding relations between SIA Digital Value 2B, registration No. 50203664291 (hereinafter – the skillball app, Platform, or we) and any natural or legal person (hereinafter – the user or you) who accesses, registers on, or uses our video processing platform and related services.

Acceptance of the Terms
By registering a user account or initiating the use of the Platform’s services in any way, you confirm that you have fully read, understood, and agree to comply with these Terms. If you do not agree to these Terms (in full or in part), you do not have the right to register for or use the Platform’s services.

Age restriction and legal capacity
To create an account and use the Platform, you must be at least 13 years old. If you are between 13 and 18 years of age, by creating an account and agreeing to these Terms, you confirm that you have received permission from your parents or legal guardians to use the Platform, and they assume responsibility for your actions.
Each adult user (including independent natural persons and representatives of organizations) independently assumes full legal responsibility for the lawfulness of their uploaded videos and compliance with the privacy of third parties. If a video is uploaded by a minor, this responsibility is jointly and severally assumed by their parents or legal representatives.

Definitions
The terms used in these Terms have the following meaning:
- Derivative work (highlights) – a processed video fragment generated by the Platform’s artificial intelligence, created from the video material uploaded by the user;
- Service – all technical solutions provided by the Platform, including, but not limited to, player recognition in video files using computer vision algorithms, and the extraction of video fragments;
- Consumer – a natural person who uses the Platform for purposes not related to their economic or professional activity (for example, a child’s parent);
- Platform – a set of software solutions that includes the website www.skill-ball.com, software installable on the user’s device, and a mobile application (available in the “Google Play” and “Apple App Store” stores), through which the user is provided access to the skillball app services;
- Video material – any unprocessed sports game video files uploaded by the user to the Platform.

User requirements and age restrictions

Minimum age for using the platform
To create an account and use the Services, you must be at least 13 years old. We do not knowingly collect and process personal data from persons who are younger than 13 years of age. If we determine or have reasonable suspicion that an account has been created by a person under the age of 13, this account, the uploaded videos, and all related data will be immediately and permanently deleted.
We draw your attention to the fact that depending on the regulatory enactments of your country of residence, the minimum age from which a person can independently provide consent for the use of information society services may differ (for example, from 13 to 16 years in the European Union). You are responsible for complying with the legislation of your country. If your country’s legislation sets a higher age threshold for the independent use of services, you need parental consent until reaching this specified age.

Terms for minors (aged 13 to 18)
If you are 13 years of age or older, but have not yet reached 18 years of age (or the age of majority according to the legislation of your country of residence), the following additional terms apply to the use of the Service:
- Parental consent: you may register and use the Platform only if you have received clear and unambiguous permission from your parent or legal guardian. By creating an account, you confirm that your parent or guardian has read, understood, and agreed to these Terms.
- Paid services and payments: by making any purchase, subscribing to the Service, or adding payment card details to the Platform, you provide a legal confirmation that you have reached at least 18 years of age, or you are the parent or legal guardian of this minor user who voluntarily authorizes this transaction.
- Unauthorized purchases: the skillball app assumes no responsibility in cases where a minor arbitrarily uses the payment means of parents, legal representatives, or third parties, bypassing our warnings. However, within the framework of good faith cooperation, parents or legal representatives have the right to contact us to report an unauthorized transaction and request the closure of the minor’s account, as well as a refund in accordance with the procedure set out in the Terms.

Responsibility of parents and legal representatives
If you, as a parent or legal representative, allow your minor child (aged 13 to 18) to create an account and use the Platform, you agree to these Terms on behalf of your child and assume full responsibility for:
- The actions of the minor while using our platform.
- Any content (video) that the minor uploads or shares using the Service.
- Acquainting the child with the principles of safe internet use, including what videos are ethical and legal to upload (taking into account the privacy of other persons, for example, teammates or opponents).
- Any financial or legal obligations that may arise as a result of the child’s actions.

Account accuracy and age verification
By registering on the platform, you commit to providing accurate, complete, and up-to-date information, including your true age. We reserve the right at any time to request proof of age or the consent of a legal representative.
If such information is not provided or we have reason to believe that the information provided is false, the skillball app has the right to restrict or completely terminate your account operation without prior notice.

Terms for sports organizations and coaches
If you use the Platform in the interests or on behalf of a legal entity, sports club, educational institution, or team (for example, as a coach, manager, or club representative), you confirm and guarantee that you have all the necessary authority to act on behalf of this organization or team.
Regardless of the type of account used, when uploading video materials in which third parties (especially minors) are visible, you act as the Data Controller. You guarantee that you provide a legal basis for both the filming of the video and its upload and processing on our Platform.
The skillball app assumes no responsibility for third-party privacy violations resulting from the actions of the organization or coach.

Nature of the Service
The skillball app provides a technological solution – a cloud-based platform where users can upload video recordings of team sports games. The platform allows the user to specify a particular player’s jersey number, and the platform performs video processing to automatically extract, compile, and create a separate video clip (or “highlights”) featuring the episodes in which the selected player is visible.
By default, the Platform is designed as a private tool for personal use. All generated “highlights” are initially visible and available only in your registered user account. The Platform does not provide the creation of public profiles, searching, or video sharing within the Platform among other users. At the same time, the Platform provides functionality that allows you, at your discretion, to generate a unique access link to share your profile and self-selected “highlights” with third parties outside the Platform (for example, scouts, agents, or friends). You assume full responsibility for whom this link is shared with and what content is made available through it.

Technical requirements for uploading
In order for the Service to function fully, the user must provide video material of appropriate quality.
- Supported video formats: .mpg4
- Maximum single file size: 5GB
Mandatory video quality requirements:
- Camera placement: wide-angle shot, filmed from an elevation. The entire playing field must be visible throughout the recording. Handheld videos or videos tracking a single player are not supported.
- Resolution: the minimum resolution is 1080p (1920×1080). A lower resolution (720p and below) will significantly reduce the accuracy of the artificial intelligence recognition and tracking at the far end of the field.
- Frame rate: the minimum frame rate is 25 fps. Preferred – 30 fps or more. Slow-motion recordings (60+ fps) are also supported.
- Camera stability: the camera must be stably mounted on a stand (tripod, monopod) or a fixed frame. Shaky or handheld footage interferes with player and ball tracking.
- Lighting: the game must be filmed in daylight or sufficient artificial stadium lighting. Material filmed in poor lighting, dusk, or heavy shadows provides unreliable recognition results.
Recommendations for better results:
- Ensure a stable horizon and avoid camera zoom changes during the game.
- Minimize camera movement – let the wide angle capture the movement on the field, rather than actively following the ball.
- Avoid filming through fences, nets, or other visual obstacles.
Other requirements:
- The Platform does not process corrupted files or files containing viruses and malware.
- The Platform and its artificial intelligence tools are intended solely for processing video recordings of team sports games (for example, football). It is strictly prohibited to upload videos that do not contain sports activities, are deliberately inappropriate, or attempt to maliciously overload the platform. We reserve the right to refuse the processing of such files without a refund.

Use of artificial intelligence
You understand and agree that artificial intelligence and computer vision algorithms are used for player recognition and the extraction of video fragments.
The skillball app emphasizes that our algorithms search only for matches to visual parameters (specifically – the player’s jersey number) in the uploaded material. We do not process biometric data, such as facial recognition or gait analysis, to identify specific natural persons. The sole purpose of the artificial intelligence tools is to facilitate technical sports analysis based on a publicly visible jersey number.
The Platform also uses an artificial intelligence assistant (chatbot). When using the platform’s artificial intelligence assistant, the user agrees not to enter sensitive personal data (including, but not limited to, health data, payment card information, passwords, etc.) or third-party data. The user understands and agrees that the Platform does not guarantee the 100% accuracy, completeness, or correctness of the responses generated by the artificial intelligence. In case of doubt, unclarity, or technical issues, please contact us.

Accuracy of artificial intelligence and service limitations
Since the Service relies on artificial intelligence and large-scale data processing, the accuracy of the results and the speed of obtaining them are directly dependent on technical conditions. You accept and agree that:
- Artificial intelligence algorithms do not guarantee 100% accuracy and can make mistakes. The algorithm may miss the searched player, incorrectly recognize another player (for example, due to poor visibility, muddy shirts, wrinkled fabric, or similar numbers), or skip individual game highlights.
- The resolution of the video file, lighting (e.g., a game in the evening without floodlights), camera angle, and filming distance are of crucial importance for the successful operation of artificial intelligence tools.
- Video analysis and artificial intelligence processing require time. The processing duration depends on the size of the uploaded file, the length of the video, as well as the overall server load at that specific moment. The skillball app does not guarantee a specific processing execution time.
- The skillball app does not provide a refund for inaccurate or incomplete results if the cause is video material of inappropriate quality or objectively difficult game filming conditions.

Data storage and backups
The Platform implements reasonable and industry-standard technical and organizational security measures to ensure the protection of your data and video materials against unauthorized access, loss, or destruction. For the purposes of Service continuity, we create data backups.
Despite the security measures we implement, the Platform is not provided as a primary data storage or archive solution. We do not guarantee 100% protection against data loss in the event of unpredictable technical failures, therefore we strongly recommend that you always keep copies of important video files on your own devices.
The exact storage periods and deletion procedures for data, profiles, and video materials are determined in our Privacy Policy. Detailed information about the technological security standards applied by the Platform, infrastructure, and data protection compliance is available in our Security & GDPR Compliance Overview document.

Technical operation and quality disclaimer
The Service and all related tools are provided “as is” and “as available” at the time you use them. The skillball app makes no warranties, either express or implied, regarding the continuity, complete error-free operation, or suitability of the Service for your specific, individual purposes.

Account creation
To access the Services, the user must register and create a user account. By creating an account, the user commits to providing only true, accurate, and complete information.

Account security and confidentiality
The user is fully responsible for maintaining the confidentiality of their account access data (username and password). Any action performed using the user’s account will be considered an action performed by the user themselves. The skillball app assumes no responsibility for losses or damage incurred by the user due to third parties accessing the account because of the user’s negligence (for example, using a weak password or transferring access data to other persons).
By registering and authorizing on the Platform with your Google or Facebook account, you confirm that this account belongs to you. You are fully responsible for the security of the access data of this third-party (Google or Facebook) account. The Platform assumes no responsibility for any losses or unauthorized access to your Platform account resulting from the compromise of your third-party (Google or Facebook) account.
The user is obliged to inform us immediately if there is a suspicion of unauthorized access to their account or any other security breach.

Prohibition of account sharing
A user account is registered to one specific person’s e-mail address. We do not recommend transferring account access data to third parties. If you, as a registered user, nevertheless choose to transfer your access data to other persons (for example, other team coaches or family members), you assume full and unlimited legal and financial responsibility for the actions of all these persons using your account.
The skillball app reserves the right to block an account if malicious or suspicious account sharing is detected (for example, mass logins from different devices simultaneously in an attempt to bypass paid service limitations).

Account suspension and deletion
The user has the right to delete their account at any time using the Platform’s settings or by contacting us.
Alongside your right to delete the account, the skillball app reserves the right at any time, without prior notice, to temporarily suspend or completely terminate your account operation and deny access to the Service if you violate these Terms, applicable laws, or if we have reasonable suspicions of fraudulent, malicious, or illegal use of the Platform.
Account deletion does not impose an obligation on the skillball app to refund the fee for the unused subscription period, unless otherwise specified in these Terms.
Information on the procedure for deleting data and video materials after account closure is available in our Privacy Policy and Data Processing Agreement.

Official communication
The user agrees that the e-mail address provided at the time of account registration is considered the official communication channel. All notices, warnings about account security, changes to the Terms, and invoices sent to this e-mail address will be considered received. It is the user’s obligation to keep their contact information up to date.

User ownership
The skillball app does not claim ownership of your uploaded video materials. You retain all copyright and any other intellectual property rights to the content you submit to the platform.
The user retains ownership and acquires full, unrestricted rights to use the derivative works generated by the platform (processed player video fragments or “game highlights”). You have the right to freely download these results, publish them on social media, and use them for any of your personal or professional purposes.
The skillball app commits to not using your uploaded videos or generated results in our public marketing or advertising materials (for example, social media campaigns or website demonstrations). Any use of such content for advertising the skillball app can only be carried out strictly on the basis of a separately concluded written agreement.

License for the provision of the Service
In order for us to provide you with the Service, you must grant us certain rights to process your data. By uploading a video to the platform, you grant the skillball app a worldwide, non-exclusive, royalty-free, and transferable license to store, copy, technically modify (for example, change the file format or resolution), analyze, and create derivative works (extract “game highlights”) from your content.
This license is granted solely for the purpose of providing, maintaining, and technically supporting the operation of the platform for your benefit.

Use of data for improving artificial intelligence models
In order to ensure the accuracy of artificial intelligence and constantly improve the quality of the Service for all users, you acknowledge and take into account that the skillball app may use your uploaded video materials to train, test, and calibrate our computer vision and number recognition algorithms. More detailed information regarding this data processing, as well as your right to object to it at any time, can be found in our Privacy Policy.
This processing is carried out in strict compliance with our Privacy Policy and does not include the use of any biometric data (for example, facial recognition). Your video materials will never be made publicly available to third parties.

Intellectual property of the platform
All platform infrastructure, software code, artificial intelligence algorithms, design, logos, and trademarks are the exclusive property of the skillball app or our licensors. The use of the Service does not grant you any ownership rights to the platform’s software or technologies. You are strictly prohibited from copying, modifying, or attempting to obtain the platform’s source code.
If you provide us with any feedback, comments, ideas, or suggestions regarding the improvement of the platform (hereinafter – feedback), you agree that we are entitled to freely use, modify, and implement this feedback in our products without any compensation, request for permission, or obligations towards you.

User warranties and responsibility for content
You guarantee that you possess all the necessary rights, licenses, and consents to upload video materials and grant us the permissions and licenses set forth in these Terms for processing the content and improving the artificial intelligence models, and that your content does not violate third-party copyrights or privacy rights.
This includes, but is not limited to, video materials that contain third-party (for example, other platforms, camera manufacturers, or services) watermarks, logos, or other indications of copyright ownership. The Platform processes the content in the format in which it is uploaded “as is” (As-is), and does not provide the removal, hiding, or cropping of third-party watermarks or logos. You assume full and sole responsibility for any third-party claims regarding your uploaded video files and the intellectual property contained therein.

Prohibited content
By using our services, you commit to complying with all applicable laws and ethical standards. It is strictly prohibited to upload, generate, store, or share on the platform video materials that:
- Contain child sexual abuse materials or any other type of pornography and sexually explicit content;
- Incite violence, hatred, discrimination, or support terrorism;
- Violate third-party intellectual property rights (including copyrights and trademarks) or rights to privacy and data protection;
- Contain defamatory, libelous, or intimidating information;
- Contain viruses, malware, or any other code that may harm the operation of the platform or other users devices;
- Are not related to the course of sports games and do not correspond to the purpose of the platform.

Content monitoring and limitations of liability
In accordance with the Digital Services Act (hereinafter – DSA) and other applicable legal acts, the skillball app acts as a content hosting service provider. We have no general legal obligation to proactively monitor, check, or filter all content uploaded by users. The user bears full, exclusive responsibility for the lawfulness of their uploaded content.
The skillball app becomes responsible for illegal content only if we have received an appropriate notice about it and have not acted in a timely manner to remove this content.

Notification mechanism
Since the skillball app provides users with a closed and private environment, the videos uploaded by users are not publicly available to third parties. However, if law enforcement authorities, copyright holders, or any other person has a justified reason or evidence to believe that illegal content is stored on our servers, it can be reported by sending an official notice to the e-mail: info@skill-ball.com.
The e-mail address info@skill-ball.com also serves as the official single point of contact for communication with Member State authorities in accordance with the DSA. Official communication with us is possible in Latvian and English. The report must include the legal basis, evidence, as well as precise information (for example, the user account e-mail or the name of the organization) that allows us to identify the specific user and content in our system.

Action upon receipt of a report
If we receive an official and substantiated notice (for example, from the police) or if, as a result of the platform’s internal security audits, we ourselves detect the prohibited content mentioned in these Terms, we reserve the right to immediately delete the relevant files, completely close the user’s account, and, if necessary, cooperate with law enforcement authorities.

Statement of reasons and appeal
If we make a decision to restrict your content or account in connection with a received report, we will send you a statement of reasons explaining our decision (except in cases where the law prohibits it).
If you do not agree with our decision, you have the right to appeal it by contacting us.

Payments, subscription and right of withdrawal

Subscription plans and functionality limits
The Platform offers various usage plans, including a free (trial) version, as well as paid subscriptions. Each plan has specific functionality and volume limitations set.
Up-to-date information about the plans, their prices, and included functionality is always available on the Platform.

Free plan
The free plan is intended for testing the Service. Within its framework, the user is allowed to create a strictly limited number of “game highlights” videos. After reaching this limit, in order to continue using the Platform for video processing, the user must purchase one of the paid subscriptions.
The user is prohibited from maliciously using the Platform, including attempting to technically or otherwise bypass the set functionality limitations. Upon detecting such activities or having reasonable suspicions of unfair use of the Platform, we reserve the right to close the associated accounts and block further access to the Service without warning.

Payment for services
All prices for paid plans are indicated on the Platform and include applicable taxes. Payments are processed using secure third-party payment processors. We do not store your full payment card data on our servers.
The skillball app reserves the right to change subscription prices or limits included in the plans at any time, informing active subscribers in advance of material changes.

Automatic subscription renewal
If you purchase the Service using a subscription model (for example, a monthly or annual plan), you agree that your subscription will automatically renew at the end of each billing period. The fee for the next period will automatically be deducted from your chosen payment method unless you cancel the subscription before the start of the next period.

Subscription cancellation
You can cancel the automatic renewal of your subscription at any time in your account settings. The cancellation will take effect at the end of the current paid billing period. Until the end of this period, you will retain full access to the Services of your paid plan.
The fee for an already started and paid period is not refunded or prorated.

Right of withdrawal for digital content
In accordance with the consumer rights acts of the European Union and the Republic of Latvia, when purchasing digital content or services, the consumer usually has a 14-day right of withdrawal. However, when purchasing a skillball app subscription or Service, you request and explicitly agree to the immediate execution of the Service. You acknowledge and agree that the moment you start using the Service (for example, upload a video for processing), you completely lose your 14-day right of withdrawal.

Refund policy
Since we provide a digital software service with high server resource consumption, the skillball app does not provide refunds for already paid services, subscriptions, or partially used billing periods.
Likewise, money is not refunded for processed videos whose results do not meet your expectations due to inappropriate video material quality (as described in these Terms).
A refund or compensation may be granted only in exceptional cases, at our unilateral discretion.

Personal data processing
The skillball app processes your personal data in accordance with the European Union General Data Protection Regulation (GDPR) and other applicable data protection regulatory enactments.
Detailed information about what data we collect, for what purposes we use it, and what your rights are, can be found in our Privacy Policy.
By creating an account and agreeing to these Terms, our Privacy Policy automatically becomes legally binding upon you, as well as our standard Data Processing Agreement (DPA) in cases where you use the platform on behalf of an organization (data controller).
If your organization’s internal compliance requirements necessitate a separate and mutually electronically signed copy of the DPA, please send a corresponding request to the e-mail: info@skill-ball.com.

Limitation of liability and absence of compensation
To the extent permitted by applicable regulatory enactments, the Service is provided without any warranties. Under no circumstances do we assume liability for any indirect losses, missed opportunities (for example, unsigned sports contracts, unobtained scholarships), or data lost as a result of using the Platform.
To avoid misunderstandings: the skillball app does not provide and does not pay automatic financial compensations for Platform operation disruptions or AI algorithm errors (except for a justified refund for a paid Service that is completely unavailable due to a system error).
However, if, in accordance with consumer rights protection regulatory enactments, a direct and legally proven fault of the skillball app is established, which imposes an obligation on us to cover the incurred losses, our total and maximum financial liability is strictly limited only to the amount that you have actually paid us for the specific (current) billing month in which the problem arose.
For users who use the Service for free, our financial liability is zero EUR.

Force Majeure
The Skillball app is not responsible for interruptions of the Platform, delays in the Service, or non-performance, if caused by circumstances beyond our reasonable control. This includes, but is not limited to, natural disasters, wars, terrorism, riots, decisions of state authorities, as well as global technical failures or cyberattacks of third-party service providers (for example, cloud computing server maintainers or internet connection providers).

Transfer of rights and obligations
The user has no right to transfer their account or the rights and obligations provided for in these Terms to third parties without our prior written consent. The skillball app reserves the right to freely, without separate user consent, transfer its rights and obligations under these Terms to any third party in connection with the sale, merger, or reorganization of the company.

Amendments to the terms
We reserve the right to unilaterally update or amend these Terms at any time to reflect changes in our services, business model, or regulatory enactments.
Material changes will take effect 30 days after their publication on the platform and the sending of a notice to your registered e-mail address.
Your continued use of the service after the changes take effect will be considered your consent to the new version of the Terms. If you do not agree with the amendments, you have the right to stop using the platform and delete your account.

Applicable regulatory enactments
These Terms, their interpretation, and execution are subject to the regulatory enactments of the Republic of Latvia. Any disputes arising in connection with these Terms or the use of the service will first be resolved through mutual negotiations. If an agreement is not reached, the dispute will be submitted for consideration to a competent court of the Republic of Latvia.
If you are a consumer, this clause does not deprive you of the rights provided by the mandatory consumer protection laws of your country of residence.

If you are a consumer whose residence is in the European Union, and we fail to resolve the dispute in direct communication, you have the right to submit a complaint to the Online Dispute Resolution (ODR) platform created by the European Commission, available here: https://ec.europa.eu/consumers/odr/

Validity of the Terms
If any competent court or authority finds any clause of these Terms to be invalid, illegal, or unenforceable, it does not affect the validity of the remaining clauses of the Terms. The invalid clause will be replaced by a legally valid provision that reflects as closely as possible the original commercial objective of the parties.
